IP Licensing and Business Counsel, Bay Area, Ref #13981

Publically Traded Life Science Company

Requirements: J.D. degree, license to practice before the U.S. Patent and Trademark Office, and admitted to the California State Bar or eligible to become California Registered In-House Counsel. Minimum five years of relevant experience in a law firm and/or in-house legal department, predominantly involving IP licensing in the chemical, biotechnology, and/or pharmaceutical space. Advanced degree in a relevant scientific field (e.g. organic or medicinal chemistry, immunology, molecular biology, biotechnology) is highly desirable, with a Ph.D. preferred. Demonstrated ability to collaborate, as well as work independently, balancing competing priorities in a fast-paced environment. Excellent written and verbal communications skills, attention to detail, and customer-service orientation. Excellent presentation skills, including demonstrated ability to convey complex ideas clearly. Some business travel required.

 

Description: The position of IP Licensing and Business Strategy Counsel is a critical role with responsibility for overseeing and advising on IP licensing and related business strategies. The successful candidate will prepare, review and maintain IP contract language for CDAs, MTAs, term sheets, patent licenses, clinical trial agreements, collaboration agreements and other agreements containing IP provisions. The position will also involve negotiating these types of agreements with third parties, as well as providing counsel on associated legal issues to internal business and legal clients. The successful candidate must have experience influencing and mentoring other attorneys in matrix-management settings. Business strategy analyses involve identifying and assessing third-party patents and published patent applications that may be relevant to the company’s business. The person in this role will be involved in developing, implementing and maintaining processes to support this function. The position may also involve diligence work (including freedom to operate, infringement and validity analyses), management of external relationships with collaborators and outside counsel, and interactions with global affiliates.
